iii. "User," "you," "your": Any individual or entity accessing or using the Website, whether or not engaged as a client.

v. "Services": The professional services offered by AZ&Co. Legal across its service verticals, including Legal Services, Business Setup & Corporate Solutions, Attestation Services, Visa & Immigration Services, Audit/Finance & Tax Services, and PRO & Government Services.

vi. "Engagement Letter": A separate written agreement executed between AZ&Co. Legal and a client governing the specific terms of a professional services engagement.

vii. "Intellectual Property": All patents, trademarks, service marks, trade names, copyrights, design rights, database rights, know-how, trade secrets, and all other intellectual property rights, whether registered or unregistered.

viii. "Privacy Policy": The AZ&Co. Legal Privacy Policy available at https://www.azcolegal.com/privacy-policy, as amended from time to time.

ix. "Cookie Policy": The AZ&Co. Legal Cookie Policy available at https://www.azcolegal.com/cookie-policy, as amended from time to time.

x. “Disbursements": Third-party costs and expenses incurred by AZ&Co. Legal on a client's behalf in the course of providing Services, including but not limited to government fees, court fees, translation fees, courier costs, and registration charges.

xi. "UAE": The United Arab Emirates.

 

References to any statute, decree, or regulation include all amendments and re-enactments. Headings are for convenience only and do not affect interpretation.

 

2. ACCEPTANCE OF TERMS

By accessing or using this Website in any manner - including browsing, submitting enquiries, downloading content, or using any interactive feature - you agree to be legally bound by these Terms & Conditions, together with our Privacy Policy and Cookie Policy, each of which is incorporated herein by reference.

If you are accessing or using this Website on behalf of a company, organisation, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms, and references to "you" shall include both you personally and that entity.

7. LIMITATION OF LIABILITY

 

7.1 Exclusion of Liability

To the fullest extent permitted by applicable law, AZ&Co. Legal and its affiliates, directors, officers, employees, consultants, and agents shall not be liable - whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, or otherwise - for any:

 

i. Loss of profits, revenue, business, contracts, or anticipated savings;

ii. Loss of data or goodwill;

iii. Business interruption or loss of business opportunity;

iv. Wasted expenditure or management time;

v. Indirect, special, incidental, punitive, or consequential loss or damage; or

vi. Any loss or damage arising from your use of, or inability to use, this Website or any Content, regardless of whether AZ&Co. Legal was advised of the possibility of such loss.

 

7.2 Cap on Liability

To the extent that any liability of AZ&Co. Legal to you in connection with this Website cannot be fully excluded by law, our total aggregate liability to you; whether in contract, tort, or otherwise; shall not exceed AED 1,000 (United Arab Emirates Dirhams One Thousand) in respect of any and all claims arising from your use of the Website. This cap does not apply to liability for fraud or fraudulent misrepresentation, or to liability that cannot be limited under applicable UAE law.

 

7.3 Reliance on Content

AZ&Co. 12. PROFESSIONAL REGULATORY COMPLIANCE 

AZ&Co. Legal is a legal services firm operating in the UAE and is subject to applicable professional conduct obligations, regulatory requirements, and licensing conditions under UAE law. Nothing on this Website overrides or modifies those professional obligations.

AZ&Co. Legal operates in full compliance with UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Countering the Financing of Terrorism and Illegal Organisations ("AML Law") and its implementing regulations. As part of our professional obligations, we are required to conduct client due diligence, KYC verification, and risk-based AML screening prior to and during any client engagement. Submission of a contact form or enquiry through this Website does not exempt any prospective client from these obligations.

 

We reserve the right to decline, terminate, or suspend any engagement or access to services at our absolute discretion, including where we are unable to complete satisfactory due diligence or where accepting an engagement would conflict with our professional obligations or AML requirements.

 

13. CONFIDENTIALITY 

No duty of confidentiality is created between AZ&Co. Legal and any Website User solely by reason of accessing this Website or submitting an enquiry through Website channels, unless and until a formal Engagement Letter is executed. Any information you submit via the Website prior to formal engagement is not automatically treated as confidential client information under professional privilege.

 

Where a formal client relationship has been established via Engagement Letter, confidentiality obligations are governed by the terms of that Engagement Letter and applicable professional conduct rules, not these Website Terms.

 

You should not submit sensitive, privileged, or legally significant information through Website contact forms or general enquiry channels. AZ&Co. Legal accepts no responsibility for the confidentiality of information submitted through unsecured or general Website channels prior to formal engagement.

 

14. INDEMNITY 

You agree to indemnify, defend, and hold harmless AZ&Co. Legal and its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

 

i. Your access to or use of this Website in breach of these Terms;

ii. Any User Submission made by you or transmitted through your account;

iii. Your infringement of any Intellectual Property right of AZ&Co. Legal or any third party;

iv. Your violation of any applicable law or regulation; or

v. Any claim by a third party arising from information or data submitted by you through the Website.

 

This indemnity obligation survives termination of these Terms and any cessation of your use of the Website.

 

15. TERMINATION AND SUSPENSION OF ACCESS

AZ&Co. Legal reserves the right, in its absolute discretion and without notice or liability, to terminate, restrict, or suspend your access to the Website or any part thereof at any time, including where:

 

a. You have breached or are suspected of breaching any provision of these Terms;

b. Your use of the Website is unlawful or potentially harmful to AZ&Co. Legal or any third party;

c. AZ&Co. Legal is required to do so by any applicable law, court order, or regulatory direction; or

d. AZ&Co. Legal decides to discontinue the Website or any part of it.

Upon termination of your access, all rights granted to you under these Terms immediately cease. Provisions of these Terms that by their nature should survive termination (including Sections 5, 7, 9, 13, 14, and 16) shall continue in full force and effect.

 

16. FEES, INVOICING AND PAYMENT   

16.1 Fee Basis 

All fees for Services provided by AZ&Co. Legal are as agreed in the applicable Engagement Letter or as quoted in a formal written proposal. No fee obligation arises from a website enquiry, contact form submission, or informal communication alone. Fees quoted on the Website, if any, are indicative only and do not constitute a binding offer unless confirmed in a signed Engagement Letter.

 

16.2 Value Added Tax (VAT)

 

AZ&Co. Legal is not currently registered for Value Added Tax (VAT) under UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax. All fees quoted are currently exclusive of VAT. Upon VAT registration, AZ&Co. Legal expressly reserves the right to add VAT at the applicable prevailing rate (currently 5%) to all fees, including fees under existing engagements, without requiring a variation to the relevant Engagement Letter. Clients will be notified of VAT registration prior to any VAT-inclusive invoicing being issued. It is your responsibility to account for any VAT implications applicable to your own business.

 

16.3 Invoicing

AZ&Co. Legal will issue invoices in accordance with the payment schedule set out in the applicable Engagement Letter, or as otherwise agreed in writing. Invoices are issued in UAE Dirhams (AED) unless an alternative currency is expressly agreed in writing. All invoices must be reviewed upon receipt. Any disputed amount must be notified to AZ&Co. Legal in writing within seven (7) calendar days of the invoice date. Failure to raise a dispute within this period shall constitute acceptance of the invoiced amount in full.

16.4 Payment Terms

Unless otherwise specified in the Engagement Letter, all invoices are due and payable within fourteen (14) calendar days of the invoice date. Time of payment is of the essence. AZ&Co. Legal reserves the right to:

i. Suspend or cease work on any matter where payment is overdue, without liability for any consequential delay or loss to the client;

ii. Charge interest on overdue amounts at a rate of 5% per annum above the prevailing UAE Central Bank base rate, calculated daily from the due date until actual payment is received;

iii. Apply any payment received to the oldest outstanding invoice first, regardless of any contrary instruction from the client; and

iv. Withhold the release of any documents, files, work product, or deliverables until all outstanding amounts owed to AZ&Co. Legal have been paid in full.

17. PAYMENT METHODS  

 

17.1 Accepted Payment Methods 

AZ&Co. Legal currently accepts payment via the following methods, as specified on the relevant invoice or payment page:

17.2 Payment Gateway: Third-Party Processing

Where payment is made via an online payment gateway, you acknowledge and agree that:

 

i. Payment processing is carried out by an independent third-party provider and is governed by that provider's own terms of service and privacy policy;

ii. AZ&Co. Legal does not store, process, or have access to your full payment card details. Card data is handled exclusively by the gateway provider in accordance with Payment Card Industry Data Security Standards (PCI-DSS);

iii. AZ&Co. Legal is not liable for any loss, error, unauthorised access, or failure arising from the gateway provider's processing systems or security infrastructure;

iv. Payment is not confirmed until AZ&Co. Legal receives a successful payment notification from the gateway provider; a completed transaction on your device does not constitute confirmed receipt until that notification is received; and

v. AZ&Co. Legal reserves the right to change its payment gateway provider at any time without notice.

 

17.3 Bank Transfer - Identification of Funds 

You are responsible for ensuring that the correct invoice reference number is included with every bank transfer. AZ&Co. Legal is not obligated to allocate unidentified funds to any specific invoice or matter. Unidentified funds will be held in a suspense account while AZ&Co. Legal makes reasonable efforts to identify the payer. If funds remain unidentified for thirty (30) calendar days, AZ&Co. Legal reserves the right to return the funds less any bank charges incurred.

17.4 Currency and Exchange 

All payments are to be made in UAE Dirhams (AED) unless an alternative currency is expressly agreed in the Engagement Letter. Where payment is received in a foreign currency, it will be converted to AED at the prevailing exchange rate at the time of receipt. Any shortfall arising from exchange rate movement or bank conversion fees is your sole responsibility.

17.5 Chargebacks and Payment Disputes

If you initiate a chargeback or payment reversal through your bank or card issuer in respect of a payment made to AZ&Co. Legal, you must notify AZ&Co. Legal in writing simultaneously. Initiating a chargeback without prior written notice and without legitimate basis constitutes a breach of these Terms. AZ&Co. Legal reserves the right to:

i. Suspend all Services immediately upon notification of a chargeback;

ii. Recover the full amount of the chargeback together with any associated bank fees, reversal charges, and administrative costs;

iii. Pursue recovery through legal proceedings where the chargeback is determined to be without merit; and

iv. Report fraudulent or bad-faith chargebacks to relevant regulatory or law enforcement authorities.

18. RETAINERS AND ADVANCE PAYMENTS

  

Where an Engagement Letter provides for a retainer or advance payment, the following terms apply:

i. Retainer amounts are held by AZ&Co. Legal and applied against fees and Disbursements as they accrue in accordance with the Engagement Letter;

ii. AZ&Co. Legal will provide a periodic statement of retainer utilisation upon written request or as agreed in the Engagement Letter;

iii. Where a retainer is exhausted, AZ&Co. Legal reserves the right to require a top-up before continuing work on the matter;

iv. Retainers are not held in a separate client account unless expressly agreed in the Engagement Letter and required by applicable law or regulatory guidance; and

v. Upon conclusion of an engagement, any unutilised retainer balance will first be applied against all outstanding fees and Disbursements. Any net balance will be returned to the client within thirty (30) calendar days, subject to the provisions of Section 19.

 

19. REFUNDS AND CANCELLATIONS   

 

19.1 General Position

Given the nature of professional legal services, AZ&Co. Legal does not operate a standard right-of-return or automatic refund policy. Refunds are assessed on a case-by-case basis at the sole and absolute discretion of AZ&Co. Legal, having regard to the factors set out in this Section. The exercise of discretion in favour of a refund in any particular case does not create an obligation, precedent, or entitlement to a refund in any future case.

19.2 Cancellation Before Work Commences 

Where a client cancels an engagement in writing before any substantive work has commenced and before any Disbursements have been incurred or committed, AZ&Co. Legal will consider a refund of any advance payment or retainer paid, less:

i. A reasonable administrative fee to cover onboarding, KYC/AML processing, file opening, and engagement preparation costs (minimum AED 500 or as specified in the Engagement Letter);

ii. Any non-refundable third-party fees, Disbursements, or government fees already committed or paid on the client's behalf; and

iii. Any time already recorded by AZ&Co. Legal personnel in connection with the matter, billed at the applicable hourly rate set out in the Engagement Letter.

19.3 Cancellation After Work Has Commenced

Where a client cancels or terminates an engagement after substantive work has commenced, no automatic refund entitlement arises. AZ&Co. Legal will invoice for all work completed to the date of termination, all Disbursements incurred, and all non-recoverable third-party commitments made on the client's behalf. Any advance payment or retainer held will be applied against this amount. A refund of any remaining balance will be considered at AZ&Co. Legal's absolute discretion.

19.4 Fixed-Fee Services

Where Services are provided on a fixed-fee basis and work has commenced, the full fixed fee is payable regardless of the stage of completion at the time of cancellation, unless AZ&Co. Legal expressly agrees otherwise in writing. Where AZ&Co. Legal is unable to complete a fixed-fee engagement due to circumstances within its own control, a pro-rata refund reflecting work not completed will be offered.

 

19.5 Non-Refundable Items 

The following are non-refundable in all circumstances:

i. Government fees, registration fees, court fees, notarisation fees, and attestation charges paid to third parties on the client's behalf;

ii. Third-party professional fees (translators, process servers, experts) committed or paid;

iii. Visa application fees and related government charges under all circumstances, including where an application is unsuccessful;

iv. Any courier, shipping, or document handling fees incurred; and

v. Administrative onboarding and KYC/AML processing fees.

 

19.6 Refund Process and Timeline 

Approved refunds will be processed within thirty (30) calendar days of written confirmation of approval by AZ&Co. Legal. Refunds will be made using the same payment method used for the original payment where technically feasible. Where payment was made via a payment gateway, refunds are subject to that provider's processing timelines and any applicable processing fees, which will be deducted from the refund amount. AZ&Co. 19.7 How to Request a Refund or Cancellation

All refund and cancellation requests must be submitted in writing to Arun.m@azcolegal.com, marked for the attention of the Head of Legal & Compliance. Requests must include: (i) client name; (ii) matter reference number; (iii) invoice number(s); (iv) amount claimed; and (v) full reasons for the request. Incomplete requests will not be processed until all required information is provided. AZ&Co. Legal will acknowledge receipt within three (3) business days and communicate its decision within twenty-one (21) calendar days of receiving a complete request.

19.8 Consumer Protection Compliance

Nothing in this Section limits or excludes any rights you may have under UAE Federal Law No. 15 of 2020 on Consumer Protection and its Executive Regulations ("Consumer Protection Law") that cannot be excluded or restricted by contract. Where a conflict exists between these Terms and any mandatory provision of the Consumer Protection Law, the Consumer Protection Law shall prevail to the extent of the conflict. AZ&Co. Legal complies with its obligations under the Consumer Protection Law and the supervision of the UAE Ministry of Economy and relevant emirate-level consumer protection authorities.

20. DATA PROTECTION IN PAYMENT PROCESSING  

 

Personal and financial data collected in connection with payment processing — including name, contact details, billing address, and transaction records — is processed in accordance with our Privacy Policy and UAE Federal Decree-Law No. 45 of 2021 (PDPL). The lawful basis for processing payment data is the performance of a contract and compliance with our legal and regulatory obligations.

 

Payment card data is processed exclusively by our third-party payment gateway provider. AZ&Co. Legal does not store full card numbers, CVV codes, or other sensitive authentication data on its own systems. Transaction records (amount, date, reference, and payer identity) are retained by AZ&Co. Legal for a minimum of seven (7) years in accordance with UAE financial record-keeping obligations and our standard retention policy.

Where payment processing involves the transfer of personal data to a gateway provider or financial institution located outside the UAE, such transfer is made in accordance with Section 7 of our Privacy Policy and the cross-border data transfer framework under PDPL and Cabinet Resolution No. 33 of 2024.

21. GOVERNING LAW AND DISPUTE RESOLUTION

21.1 Governing Law

These Terms & Conditions, their subject matter, and their formation are governed by and construed exclusively in accordance with the laws of the United Arab Emirates, including applicable federal laws and the laws of the Emirate of Dubai, without regard to any conflict of laws principles.

21.2 Exclusive Jurisdiction — Dubai Courts

The courts of the Emirate of Dubai, UAE, shall have exclusive jurisdiction to settle any and all disputes, claims, or matters (whether contractual or non-contractual) arising out of or in connection with these Terms, their subject matter, formation, or enforceability. You irrevocably and unconditionally submit to the exclusive jurisdiction of the Dubai courts and waive any objection to proceedings in those courts on grounds of inconvenient forum or otherwise.

21.3 Good Faith Negotiation

Before initiating formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct written negotiation. A party seeking to initiate proceedings must first issue a formal written notice of dispute to the other party. If the dispute is not resolved within thirty (30) calendar days of that notice, either party may proceed to file a claim before the competent Dubai court. This negotiation obligation does not prevent either party from seeking urgent interim or injunctive relief from a Dubai court at any time.

21.4 No Arbitration

These Terms do not include an arbitration agreement. All disputes arising under or in connection with these Terms shall be resolved exclusively through the courts of the Emirate of Dubai. No dispute shall be referred to arbitration without a separate written arbitration agreement signed by an authorised representative of AZ&Co. Legal at the time the dispute arises.

21.5 Free Zones

Where AZ&Co. Legal is engaged in connection with matters specifically arising within the Dubai International Financial Centre (DIFC) or the Abu Dhabi Global Market (ADGM), the applicable free zone law and court jurisdiction may apply to those specific engagement matters only, as expressly set out in the relevant Engagement Letter. These Website Terms and all matters arising from them remain exclusively subject to the courts of the Emirate of Dubai in all circumstances.

 

22. GENERAL PROVISIONS 

22.1 Entire Agreement

These Terms & Conditions, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and AZ&Co. Legal in relation to your use of this Website and supersede all prior agreements, representations, and understandings in that regard. They do not govern any professional services engagement, which is exclusively governed by the applicable Engagement Letter.

22.2 Severability

If any provision of these Terms is found by a competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable, or, if modification is not possible, removed.

22.3 No Waiver

No failure or delay by AZ&Co. Legal in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy, nor shall any single or partial exercise preclude any further exercise of the same or any other right or remedy. Waivers must be given in writing to be effective.

22.4 Assignment

You may not assign, transfer, sub-licence, or otherwise deal in any of your rights or obligations under these Terms without the prior written consent of AZ&Co. Legal. AZ&Co. Legal may assign or transfer its rights and obligations under these Terms without your consent in connection with a merger, acquisition, restructuring, or sale of all or substantially all of its assets, provided that your rights are not materially prejudiced.

22.5 Relationship of Parties

Nothing in these Terms creates or implies any partnership, joint venture, agency, employment, or franchise relationship between you and AZ&Co. Legal. Neither party has authority to bind the other in any manner whatsoever by reason of these Terms alone.

22.6 Third-Party Rights

These Terms do not confer any rights on any third party. No person who is not a party to these Terms shall have any right to enforce any provision of these Terms under any applicable law.

22.7 Language

These Terms are drafted in English. In the event of any conflict between an English version and any translated version of these Terms, the English version shall prevail.

23. CHANGES TO THESE TERMS

AZ&Co. Legal reserves the right to amend, update, or replace these Terms at any time. Material changes will be communicated via a prominent notice on the Website or by email (where we hold your contact details) at least fourteen (14) days before the revised Terms take effect. Non-material changes (such as typographical corrections or structural reformatting) may take effect immediately.

Your continued use of the Website after any such changes constitutes your binding acceptance of the revised Terms. If you do not accept the revised Terms, you must immediately cease accessing and using the Website. The date at the top of this document reflects the most recent revision.
